Oqiron Terms of Service
Effective Date: July 26, 2026
Important Notice
Please read these Terms, the Privacy Policy, and the Risk Disclosure in their entirety before registering for or using Oqiron. Oqiron provides software, data, automated execution, risk control, account bookkeeping, and related technical services related to quantitative trading of digital assets. Trading in digital assets and derivatives involves high risk and may result in the loss of some or all of your funds. This platform does not guarantee the safety of principal, fixed returns, minimum returns, or any specific profit outcomes.
By checking the consent box, completing registration, accessing, or continuing to use the services, you acknowledge that you have read, understood, and accepted these Terms. If you do not agree, please do not register or use the services.
1. Definitions and Scope of Application
- “Oqiron,” “Platform,” “ “We” refer to the platform operator providing you with the Oqiron website, application, interfaces, and related services.
- “You” or “Customer” refers to a natural person or legally established organization that registers for, accesses, or uses the Services.
- “Individual Account Mode” refers to your use of the Platform’s services through an authorized exchange API using your own exchange account and funds.
- “Integrated Account Mode” refers to the mode in which the Platform manages customers’ deposited funds in accordance with independent customer ledgers and provides trading services after this feature is officially launched.
- “Digital Assets” include stablecoins, virtual currencies, tokens, digital asset spot products, and derivatives. Digital assets may not have the status of legal tender and are not protected by deposit insurance.
- These Terms apply to registration, login, trial use, subscriptions, trade execution, integrated accounts, fund deposits, withdrawals, revenue sharing, referral rewards, customer support, and other related features.
Specific features are subject to the features actually available in your account, page descriptions, and effective configurations. The display of a feature on a page does not imply that the feature is available in your region or suitable for your use.
2. Registration Eligibility and Regional Restrictions
You represent and warrant that:
- You are at least 18 years of age and have attained the legal capacity for full civil conduct and the minimum age for financial transactions as required by the laws of your jurisdiction;
- You have the authority to accept these Terms in your own name, or have the authority to accept these Terms on behalf of a relevant organization;
- The information you provide is true, accurate, and complete, and you will update it promptly if any changes occur;
- You will not act on behalf of sanctioned entities or prohibited persons, nor will you use the Services to circumvent sanctions, anti-money laundering regulations, capital controls, tax requirements, or other legal obligations;
- Your jurisdiction permits your use of the relevant digital asset and derivatives services, and you are solely responsible for verifying local legality;
- The source of the funds you use is lawful and does not consist of proceeds of crime, sanctioned property, or unauthorized third-party funds.
The platform may, based on laws, sanctions, anti-fraud measures, risk control, service capacity, or third-party requirements, refuse registration, restrict functionality, request additional information, suspend an account, or terminate services. Successful registration does not imply that the platform has confirmed your compliance with legal requirements in all jurisdictions.
3. Account Registration and Security
- Registration requires verification via an email verification code and CAPTCHA, as well as your agreement to the then-current Terms of Service, Privacy Policy, and Risk Disclosure.
- The platform will not create a formal customer account, permanent deposit address, referral relationships, or login tokens until verification is complete.
- You must set a strong password and properly protect your email, devices, login credentials, exchange APIs, and multi-factor authentication tools.
- You may not transfer, rent, or sell your account, nor may you allow unauthorized persons to use your account.
- If you discover a credential leak, unusual logins, suspicious transactions, or loss of control over your email account, you must immediately revoke relevant authorizations and contact the platform.
- The platform reserves the right to use measures such as rate limiting, CAPTCHA verification, device and login logs, and temporary account freezes to protect accounts.
You shall be legally liable for any losses resulting from your failure to properly protect your credentials, disclosure of verification codes to others, use of infected devices, or allowing third parties to use your account, except in cases of intentional misconduct or gross negligence on the part of the platform.
4. Referral Relationships and Rewards
- The referral code is the referrer’s customer ID. The referral code is optional, but must be valid if provided.
- First- and second-level referral relationships are established only at the time of the initial formal registration; they cannot be retroactively added, changed, or transferred after registration is complete.
- Referral relationships do not constitute partnerships, agency, employment, brokerage, or investment advisory relationships.
- Referral rewards may only be derived from the Platform’s actually confirmed corporate revenue and shall be calculated in accordance with the reward rules in effect at the time. Revenue that is unpaid, unsettled, refunded, disputed, or for which evidence is incomplete shall not generate eligible rewards.
- Reward percentages, available balances, withdrawal conditions, risk control reviews, and tax treatment are subject to the rules in effect at the time and the actual account status. Referrers must not promise returns, solicit funds, or publish false promotional materials on behalf of the platform.
5. Personal Account Model
- Your trading funds remain in your own exchange account. The platform reads your account and executes trades based on the API permissions you grant.
- Normal access should not require withdrawal permissions. You must ensure that the API includes only the minimum permissions explicitly required by the platform and enable protective measures such as IP whitelisting supported by the exchange.
- A trial or paid subscription merely grants you access; it does not imply that trading is suitable for you, nor does it replace exchange permissions, funds, risk assessments, or other security controls.
- Accounts, trades, fees, forced liquidations, system failures, and disputes between you and the exchange remain subject to the exchange’s terms and conditions.
- After you close, reduce, cancel, or modify a position or protective order, the affected position may transfer to customer control; after the platform safely releases its own orders, it will only perform read-only tracking and no longer guarantees continued management of that position.
6. Integrated Account Model
Integrated accounts may only be used after the platform has explicitly announced their availability and completed the necessary fund segregation, on-chain confirmation, exchange deposits, client account segregation, and reconciliation capabilities. Prior to official launch, registration eligibility, page access, or deposit addresses do not indicate that the service is available.
After official launch:
- The platform will establish a separate ledger for each client and may assign a dedicated integrated deposit address to the client;
- Clients must use the network, token contract, and minimum amount currently enabled by the platform; using the wrong network, token, or address may result in irrecoverable losses;
- Credits to client ledgers are determined by confirmed on-chain facts, uniqueness checks, and platform rules, and are not based on screenshots, client statements, or administrator judgment;
- Funds may pass through the customer’s dedicated staking address, the platform’s pooling wallet, and exchange accounts. On-chain confirmation, pooling, exchange confirmation, and the customer’s tradable balance represent different stages;
- The platform will record principal, available funds, tied-up funds, fees, profits and losses, revenue sharing, and withdrawal status in the customer’s segregated ledger;
- Withdrawals may require identity, security, balance, open order, on-chain, and compliance reviews, and may be delayed due to network issues, exchange-related factors, risk events, or legal requirements;
- Funds in integrated accounts do not constitute bank deposits and are not covered by deposit insurance. Digital assets, stablecoins, blockchain, custody, and exchanges each carry their own independent risks.
The platform may not pass on a client’s financial losses to another client; however, system isolation measures cannot eliminate external risks such as exchange bankruptcy, stablecoin de-pegging, on-chain attacks, custody failures, or legal actions.
7. Trials, Subscriptions, Fees, and Revenue Sharing
- Trial eligibility is granted by the platform; the duration and scope of availability are subject to account records. Trials do not provide trading capital and do not incur subscription fees or revenue sharing charges.
- Paid services for personal accounts follow a model where customers actively purchase services, with no automatic renewal. Upon successful purchase, the subscription period is extended in accordance with platform rules.
- Except where required by applicable law, in cases of duplicate charges, or where the platform confirms it was unable to provide the purchased service, refunds are generally not issued for completed subscription purchases.
- Paid individual account customers and integrated account customers may be required to pay revenue sharing on realized net profits that have been reconciled and exceed the applicable settlement threshold, in accordance with effective rules.
- Unrealized gains or losses, incomplete evidence, unreconciled transactions, or amounts with outstanding historical losses shall not be used as the basis for confirmed revenue sharing.
- Transaction fees, funding rates, slippage, on-chain fees, exchange fees, taxes, and revenue sharing may affect the final results. The information displayed on the page is subject to the actual statements, transaction history, and settlement records.
Changes to fee schedules or revenue-sharing rules apply only to services or settlement cycles that take effect after such changes, unless otherwise required by law or explicitly agreed upon by both parties.
8. Trade Execution and Risk Control
- The platform may automatically submit, modify, or cancel orders based on strategies, market conditions, account funds, risk limits, and exchange status.
- Risk control measures can only mitigate certain risks; they do not guarantee protection against losses, forced liquidation, negative-balance losses, insufficient liquidity, or losses resulting from extreme market conditions.
- Order status is determined by the exchange’s confirmation and the platform’s reconciliation results. Page caching, pending signals, backtest data, or unconfirmed requests do not constitute actual execution.
- Trades may differ from expectations due to price changes, slippage, partial fills, order rejections, delays, internet outages, exchange maintenance, API restrictions, or market disruptions.
- The platform may block new positions, reduce risk, or execute a controlled exit in cases of incomplete evidence, abnormal volatility, account risk, service upgrades, or security incidents.
9. Your Obligations as a User
You must not:
- Engage in money laundering, terrorist financing, fraud, market manipulation, insider trading, sanctions evasion, or other illegal activities;
- Use another person’s identity, funds, exchange account, or unauthorized API;
- Attack, circumvent, reverse engineer, or interfere with the Platform’s security measures, rate limiting, authentication, ledger, or audit functions;
- Exploit vulnerabilities to gain improper benefits, or falsify on-chain transactions, payments, orders, earnings, or referral relationships;
- Scrape, copy, or sell the Platform’s proprietary data, strategies, models, or software, except as expressly permitted by law;
- Guarantee returns, raise funds, or make unauthorized commitments to others on behalf of the Platform.
10. Third-Party Services
The Platform relies on exchanges, blockchain networks, node services, stablecoin issuers, cloud services, internet services, email, and security verification services. Third-party services are subject to their own terms, privacy policies, technical limitations, and legal obligations. The Platform will select and manage service providers to the extent reasonably possible; however, it cannot control third-party service outages, policy changes, asset freezes, cyberattacks, bankruptcies, or regulatory actions.
11. Data and Privacy
The Platform processes personal information in accordance with the Privacy Policy. You agree that the Platform may process necessary information to fulfill these Terms, protect your account, execute transactions, process funds and ledgers, comply with laws, and improve services. Blockchain transactions constitute public, irreversible, or permanently traceable information; the Platform cannot delete or alter records on public blockchains.
12. Intellectual Property
All rights in the Platform’s software, interfaces, documentation, trademarks, models, strategy frameworks, compiled works, and non-public data are owned by the Platform or the respective rights holders. The Platform grants you only a revocable, non-exclusive, non-transferable, limited license to use the Services in accordance with these Terms.
You retain rights to the data you legally own and grant the Platform the necessary permission to process such data as required to provide, protect, audit, and improve the Services. The Platform may not use your non-public personal data to train models intended for unrelated third parties, unless it obtains the authorization required by applicable law or completes irreversible anonymization.
13. Service Changes, Interruptions, and Termination
The Platform may modify, suspend, or terminate certain services for security, legal, third-party, maintenance, product adjustment, or risk control reasons. For scheduled maintenance or major rule changes, the Platform will provide advance notice to the extent reasonably practicable; urgent security, legal, or market events may be addressed immediately.
You may stop using the services and request to close your account in accordance with the rules on the relevant page. Prior to account closure, outstanding orders, open positions, invoices, withdrawals, disputes, and records required to be retained by law must still be processed. The Platform may restrict or terminate an account in the event of illegal activity, fraud, sanctions, significant security risks, material breach of contract, or prolonged inability to verify identity.
Termination does not affect obligations regarding payments, transactions, settlements, compensation, audits, privacy, and dispute resolution that have already occurred.
14. Disclaimer of Warranties and Limitation of Liability
To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available.” The Platform does not warrant that the Services will be uninterrupted, completely error-free, or fit for your specific purposes, nor does it warrant that strategies, signals, backtests, risk controls, or historical performance will generate future returns.
The Platform shall not be liable for losses caused solely by market volatility, customer decisions, exchange rules, blockchain operations, stablecoin events, tax changes, or third-party failures; however, this provision does not exclude the Platform’s liability for fraud, willful misconduct, gross negligence, or any liability that cannot be excluded under applicable law.
To the extent permitted by applicable law, the Platform shall not be liable for indirect, incidental, special, or consequential damages, nor for loss of profits, opportunities, goodwill, or data. No limitation of liability shall reduce your rights under mandatory consumer protection laws or other laws that cannot be excluded.
15. Tax and Legal Liability
You are responsible for understanding and fulfilling all reporting, tax, and other legal obligations related to registration, holding, trading, earnings, revenue sharing, rewards, and withdrawals. The reports provided by the Platform are for record-keeping purposes only and do not constitute legal or tax advice. The Platform may withhold, report, freeze, restrict, or provide information as required by law.
16. Notices and Electronic Signatures
You agree to receive electronic notices regarding the Services via your account page, in-platform notifications, your registered email address, or Platform announcements. Notices sent to your registered email address or account shall be deemed delivered unless they are returned undelivered or otherwise required by law. You are responsible for ensuring your email address remains active.
Checking the consent box, entering a verification code, clicking “Confirm,” or continuing to use the Service may constitute an electronic signature and consent to electronic records, the validity of which is governed by applicable law.
17. Updates to the Terms
The Platform may update these Terms due to changes in laws, products, risks, or services. Significant changes will be communicated through reasonable means and will clearly indicate the new version and effective date. Where the law requires renewed consent, the Platform will obtain your confirmation before continuing to provide the relevant services. Transactions and settlements completed prior to an update shall, in principle, be governed by the rules in effect at that time.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws having a substantive connection to the Platform’s services, your location, and the relevant transactions, and are always subject to mandatory laws that cannot be excluded. In the event of a dispute, both parties shall first engage in good-faith negotiations through customer service channels. If the dispute cannot be resolved through negotiation, either party may file a claim with a court, arbitration institution, or consumer dispute resolution body having jurisdiction under applicable law.
Nothing in these Terms limits your right to file a complaint with regulatory authorities, law enforcement agencies, or consumer protection agencies in accordance with applicable mandatory laws.
19. Miscellaneous
- If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be interpreted in a manner that most closely reflects the original intent, to the extent permitted by law.
- The Platform’s failure to immediately exercise its rights shall not constitute a waiver.
- You may not assign your account or any rights or obligations under these Terms without the Platform’s written consent; the Platform may transfer relevant rights and obligations due to reorganization, service migration, or transfer in accordance with the law, without diminishing your mandatory rights.
- These Terms, the Privacy Policy, the Risk Disclosure, and any effective rules explicitly referenced on the pages collectively constitute the agreement between you and the Platform regarding the relevant services.
